Designed for Distinction Terms of Service (“TOS”)
Effective Date: Feburary 20, 2026
These Terms of Service (“TOS”) form an agreement between Designed for Distinction (“Designed for Distinction”) and the person or entity purchasing or using services (“Client”). This TOS governs the purchase and use of services, including but not limited to managed WordPress hosting, website builds, custom plugin development, troubleshooting and technical support, and related professional services (collectively, the “Services”).
This TOS incorporates by reference Designed for Distinction’s Acceptable Use Policy (“AUP”) and Privacy Policy. In the event of a conflict between this TOS and the AUP, the AUP controls for prohibited use and network conduct.
1. Acceptance and Eligibility
By purchasing, accessing, or using the Services, the Client agrees to be bound by this TOS. If the Client does not agree to this TOS, the Client must not purchase or use the Services.
The Client represents that the Client has the legal authority to enter into this agreement on behalf of the Client or the organization represented.
2. Business Location and Infrastructure
Designed for Distinction operates as a Canadian business. Administrative operations are conducted from Canada. Hosting infrastructure, email systems, backups, and certain technical systems used to deliver Services may be located in the United States. As a result, information associated with Service delivery may be processed in both Canada and the United States.
3. Service Scope and Delivery
Services are provided as described on the relevant service page, proposal, order form, or billing portal description. Any scope not expressly included is excluded unless agreed in writing through an order, ticket, or statement of work.
Certain Services may be provided as a courtesy, including migrations. Courtesy Services are not guaranteed in availability or timeline.
4. Client Responsibilities
The Client is responsible for:
- Maintaining accurate account and contact information
- Keeping account credentials secure and limiting access to authorized persons
- Ensuring all content hosted or processed through the Services complies with applicable law and the AUP
- Maintaining appropriate licenses and rights to all content uploaded or used
- Maintaining independent copies of critical data where required for the Client’s operations
5. Access and Control Panel
Managed hosting Services are administered without a traditional hosting control panel. The WordPress dashboard is the primary management interface for most use cases.
Where appropriate for development, troubleshooting, or advanced administration, file access may be provided via SFTP and database access may be provided via phpMyAdmin, subject to account type, security controls, and identity verification where required.
6. Email Hosting
Designed for Distinction does not provide general email hosting as part of standard managed WordPress hosting unless explicitly stated in writing. Email deliverability, third party mail routing, and mailbox services are outside the default Service scope.
7. Updates, Changes, and Consent
Designed for Distinction does not install themes, plugins, or make material changes to a Client website without authorization, except where required to address an emergency security issue, active compromise, or stability failure. In such cases, changes are limited to what is reasonably necessary to contain the issue and restore stability.
8. Prohibited Use and Enforcement
All use of the Services must comply with the AUP. Designed for Distinction may suspend or terminate Services where use is believed to violate the AUP, threaten system stability, or create legal or security risk.
9. Billing, Payments, and Fees
Service activation is dependent upon receipt of payment for stated charges. Ongoing charges renew on the billing cycle shown in the Client billing portal.
Accepted payment methods are those offered in the billing portal at the time of checkout. The Client is responsible for any transaction or processing fees charged by payment providers.
10. Late Payments, Suspension, and Termination
Accounts may be suspended when invoices become past due. Unless otherwise stated in the billing portal or service description:
- Service may be suspended at 10 days past due
- A late fee may apply for nonpayment-related service interruptions
- Service may be terminated at 15 days past due
If a service is deactivated due to nonpayment, reactivation occurs only after the outstanding balance is paid in full and payment has cleared. If an account is terminated, restoration may be possible only if backups are available, and a restoration fee may apply.
Where accounts are sent to collections, the Client may be responsible for reasonable collection costs and fees, subject to applicable law.
11. Refunds, Chargebacks, and Disputes
Payments are nonrefundable except where a written money-back policy applies to a specific hosting product or plan and the Client meets the stated eligibility criteria. If a money-back policy exists, it is limited to the terms published for that product.
Billing disputes must be reported within a reasonable period after the issue is discovered. Where a chargeback or payment dispute is initiated for charges that are valid under this TOS and/or the AUP, administrative fees may apply, and Services may be suspended until resolved.
12. Backups and Disaster Recovery
Designed for Distinction performs backups for disaster recovery purposes. Backup availability, retention, and restore scope vary by plan and are described on the hosting service page or billing portal. Unless otherwise stated for the Client’s plan, backup retention is up to 7 days.
Backups are not a substitute for Client-side archival or compliance retention requirements. Restore requests that are not disaster recovery related may be subject to fees.
13. Migrations (Courtesy Service)
Where migrations are offered, they are provided as a courtesy. The Client authorizes Designed for Distinction to copy data from third party systems for the purpose of migration. Designed for Distinction is not responsible for third party limitations, delays, access issues, or incomplete transfers caused by third party systems.
14. Security and Monitoring
Designed for Distinction may implement security monitoring, malware scanning, firewall controls, and performance controls as part of managed Services. These controls may include the collection of technical and security logs for troubleshooting, abuse detection, and compliance.
15. Limitation of Liability
To the fullest extent permitted by law, Designed for Distinction shall not be liable for indirect, incidental, special, exemplary, or consequential damages, including loss of profits, loss of data, or business interruption, arising from the use of or inability to use the Services.
Designed for Distinction’s total liability for any claim related to the Services shall not exceed the amount paid by the Client for the affected Service during the period giving rise to the claim, except where such limitation is prohibited by applicable law.
16. Indemnification
The Client agrees to indemnify and hold harmless Designed for Distinction from claims, damages, liabilities, and expenses arising from the Client’s content, use of the Services, or violation of this TOS or the AUP.
17. Changes to This TOS
Designed for Distinction may update this TOS at any time by posting an updated version. Continued use of the Services after posting constitutes acceptance of the updated terms.
18. Governing Law
This TOS shall be governed by the laws of the Province in which Designed for Distinction operates and applicable federal laws of Canada, without regard to conflict-of-law principles.
